Elicera Therapeutics announces the last day of trading in BTU and the first day of trading in warrants of series TO2

Elicera Therapeutics AB (publ) ("Elicera" or "the Company") announces that the rights issue which the board of directors resolved on January 18, 2024 and was approved at the extraordinary general meeting on February 20, 2024 ("the Rights Issue") has been registered with the Swedish Companies Registration Office (Bolagsverket). Trading of paid subscribed units ("BTU") will therefore cease, and BTU will be replaced by shares and the warrants of series TO2. The last day of trading with BTU is March 28, 2024, and the warrants of series TO2 will be listed for trading on Nasdaq First North Growth Market on April 5, 2024.

In connection with the registration with the Swedish Companies Registration Office, BTU are converted into newly issued shares and warrants of series TO2 with the ticker ELIC TO2. The first day of trading in the warrants of series TO2 on Nasdaq First North Growth Market is April 5, 2024. The last day of trading in warrants of series TO2 is March 6, 2025.

Warrants of series TO2

Each warrant of series TO2 entitles the holder to subscribe for one (1) new share in the Company. The subscription price for subscription of shares with the support of warrants of series TO2 corresponds to 70 percent of the volume-weighted average price paid for the Company’s shares during the period from February 11, 2025, up to and including February 24, 2025, but not less than SEK 1.24 and not more than SEK 2.70. The exercise period for subscription of shares with the support of the warrants of series TO2 shall be made, in accordance with the terms of the warrants of series TO2, during the period from February 26, 2025, to March 11, 2025.
